On November 10, 2008 (the “Petition Date”), the National Wholesale Liquidators, Inc. and 61 affiliates (the “Debtors” filed voluntary petitions for relief under Chapter 11 of title 11 of the United States Code (the “Bankruptcy Code”) in the United States Bankruptcy Court for the District of Delaware (the “Bankruptcy Court”), and the Debtors’ Chapter 11 cases were jointly administered under Case No. 08-12847 (MFW). By Order entered February 26, 2009, effective 12:00 a.m. February 26, 2009 (the “Conversion Date”), the Debtors’ cases were converted to cases under Chapter 7 of the Bankruptcy Code. On the same day, Alfred T. Giuliano was appointed as interim Chapter 7 trustee (the “Trustee”).
